1. Agreement

These Terms govern your use of TruckWe and "Victoria" (our WhatsApp assistant) to connect Clients who need goods moved with independent Transporters who offer transport services.

By using TruckWe (including messaging Victoria on WhatsApp) you agree to these Terms. If you do not agree, do not use the service.

If you are onboarding on WhatsApp, replying "I AGREE" confirms acceptance of these Terms.

2. What TruckWe Is (and Is Not)

TruckWe is a matching platform. We:

  • Collect load details from Clients
  • Share loads with Transporters
  • Let Transporters send quotes/offers
  • Help the parties confirm a deal and exchange contact details

TruckWe is not:

  • A transport company, carrier, broker of record, freight forwarder, insurer, or escrow provider
  • A party to any transport contract between Client and Transporter

Any transport agreement is strictly between the Client and the Transporter.

3. User Roles

  • Client: Posts loads and accepts/declines/counters quotes
  • Transporter: Views loads, submits quotes, posts space offers

A user may act as both roles.

4. Quotes, Deals, and Confirmations

4.1 Quotes are submitted by Transporters and are not guaranteed until a deal is confirmed.

4.2 A Deal is only confirmed when:

  • The Client accepts a quote (or accepts a counter), and
  • The Transporter confirms (e.g., replies YES when prompted)

4.3 After confirmation, TruckWe may share contact details so the parties can coordinate directly.

5. Commission & Fees

5.1 TruckWe charges a commission (default 6%) on completed deliveries, unless you have an agreed custom rate.

5.2 Commission becomes due when delivery is marked delivered through the platform's delivery confirmation flow (two-party confirmation or an admin resolution where applicable).

5.3 If delivery is disputed, TruckWe may place commission on hold pending resolution.

5.4 Transporters are responsible for their own taxes, permits, operating costs, and compliance.

6. Delivery Confirmation & Disputes

6.1 Either party may initiate delivery confirmation (e.g., "DELIVERED [ref]").

6.2 If the other party confirms, the job is marked delivered.

6.3 If the other party disputes delivery, the job may be marked delivery_disputed, and TruckWe may request additional information to help resolve the dispute.

6.4 TruckWe may:

  • Request evidence and statements from both parties
  • Suspend accounts for suspected fraud or abuse
  • Decide administrative outcomes for platform records (e.g., whether commission is due)

Important: TruckWe does not guarantee dispute outcomes and is not liable for losses.

7. Your Responsibilities

7.1 Client Responsibilities

You agree to:

  • Provide accurate load information (pickup/dropoff, cargo type, weight, dates)
  • Ensure goods are lawful to transport
  • Package goods appropriately and disclose special handling needs
  • Verify transporter suitability, insurance, and permits that matter for your shipment
  • Agree payment terms with the transporter directly (unless you use a TruckWe-approved payment method, if introduced later)

7.2 Transporter Responsibilities

You agree to:

  • Provide truthful business details, capacity, and pricing
  • Comply with road, safety, licensing, and cross-border requirements where applicable
  • Maintain appropriate insurance if you choose to offer it
  • Act professionally and communicate promptly with Clients after confirmation

8. Prohibited Goods & Misuse

You may not use TruckWe to transport or request transport of:

  • Illegal goods, stolen goods, contraband
  • Weapons/ammunition without lawful authorization
  • Hazardous materials without required permits
  • Anything that violates law or infringes rights

TruckWe may refuse or remove loads/offers and suspend users for prohibited or suspicious activity.

9. Messaging, Opt-Out, and Acceptable Use

9.1 You consent to receive service messages from TruckWe via WhatsApp related to loads, quotes, confirmations, disputes, billing, and support.

9.2 You can opt out at any time by replying STOP. You can re-enable by replying START.

9.3 Abuse, harassment, spam, or attempts to bypass platform records may result in suspension.

10. No Warranties

TruckWe provides the platform "as is" and does not guarantee:

  • A transporter will be available
  • Quotes will be accurate or accepted
  • Deliveries will occur on time
  • Any level of service quality or safety

11. Limitation of Liability

To the maximum extent permitted by law:

  • TruckWe is not liable for theft, loss, damage, delays, personal injury, or business losses arising from transport services.
  • TruckWe's total liability (if any) is limited to the commission amount for the relevant disputed deal.

12. Indemnity

You agree to indemnify TruckWe against claims arising from your:

  • Unlawful cargo
  • Inaccurate load/offer information
  • Violation of law
  • Disputes between Client and Transporter

13. Account Actions and Termination

We may suspend or terminate access if we reasonably believe there is fraud, abuse, risk to users, or policy violations. You may stop using TruckWe at any time.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will post an updated version on our website and may notify users via WhatsApp. Continued use means acceptance.

15. Governing Law

These Terms are governed by the laws of Namibia (and where applicable, relevant South African requirements for cross-border activity). Disputes about these Terms will be handled in the courts of Windhoek, Namibia.
